NOTICE: These terms are an interim summary. 1. Service description

Layup provides software infrastructure that lets merchants ("organizers") offer instalment-based payment plans to their customers ("buyers"). Layup is a technology provider; the underlying contractual relationship for each purchase is between the organizer and the buyer.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract under the laws of your jurisdiction. Organizers represent that they are authorised to sell the underlying goods or services and to offer them on instalment terms.

3. Payment terms

By enrolling in a payment plan, the buyer authorises Layup (acting as the organizer's payments agent) to charge the buyer's nominated payment method for each scheduled instalment, plus any platform fees disclosed at checkout. Failed payments may be retried under the organizer's retry policy. After repeated failures the plan may be cancelled and goods or services may not be delivered.

4. Fees

Buyer-facing platform fees and compression fees are shown at checkout and on each plan's detail page. Organizers pay processing fees passed through from the underlying card networks. No fees are charged that were not disclosed before enrolment.

5. Refunds and cancellation

Refunds and cancellations follow the organizer's policy, plus any rights you have under applicable consumer protection law (for example POPIA in South Africa, the CCPA in California, or the GDPR in the EEA). Where law and the organizer's policy conflict, the law applies.

6. Acceptable use

You agree not to use Layup to commit fraud, launder money, circumvent rate limits, scrape data, or violate the rights of others. Layup may suspend accounts that appear to be doing so while it investigates.

7. Disclaimer of warranties

Layup is provided on an "as is" and "as available" basis. Layup does not warrant that the service will be uninterrupted or error-free. To the maximum extent allowed by law, Layup disclaims all implied warranties.

8. Limitation of liability

To the maximum extent allowed by law, Layup's aggregate liability under these terms is limited to the greater of (a) the platform fees you have paid in the 12 months before the claim and (b) ZAR 1,000. Layup is not liable for indirect, incidental, special, or consequential damages.

9. Governing law

These terms are governed by the laws of South Africa unless a different jurisdiction is specified in your order documents. Disputes will be resolved in the courts of South Africa, subject to any mandatory consumer protection venue rules.

10. Changes

Layup may update these terms with reasonable notice. Continued use after a change indicates acceptance. Material changes will be notified by email to the address on file.
